After having served as general counsel to a health care entity for over ten years, assisted in the successful $100M merger between that entity and another, the region's two largest health care entities

Assisted a municipality in the creation of a self-insured liability program through the issuance of $10 million in bond funds by establishing systems for the evaluation and handling of liability claims

Assisted a regional health foods retailer in the expansion of its chain through a private equity offering

Assisted a software developer in its successful attempt to support the development of its products through a private equity offering

Assisted in the organization of a complex multi-use development including leased retail, office, detached homes, apartments and condominiums

Negotiated on behalf on a national retail chain with city planners and local government to secure approval of a new $15M development

General Litigation

Assisted in the dismissal of a $90,000 civil-rights lawsuit against a county sheriff's department stemming from an alleged affair between the plaintiff and a deputy

In a multi-party lawsuit, represented the owners of a large contracting firm seeking payment for construction of a multimillion dollar project; resulting in a negotiated settlement for nearly the full payment

Represented a developer in a $1.4M case in which the company was sued by a general contractor for work completed and negotiated a settlement of $250,000

Represented a supplier in its effort to enforce a guarantee against a developer who had entered Chapter 11 reorganization, resulting in the collection of 60 cents on the dollar versus the 10 cents received by the other creditors

Represented an architect who was sued for negligent design in connection with a newly constructed home, resulting in a dismissal in the early stages of litigation

Represented the owners of a home costing $215,000 in their lawsuit against the developer/contractor for defective construction and misrepresentation, resulting in the developer repurchasing the home for $238,000

Successfully represented a municipality in its action against a county over the county's attempt to purchase the city's water system, resulting in an equitable purchase price valued at 12 times the county's rebuffed offer

Represented a construction subcontractor on a large residential project in a dispute with a general contractor, who filed a countersuit The successful arbitration resulted in a judgement of wrongful termination, plus damages of $149,000 for the client, with nothing awarded as a result of the countersuit

Personal Injury & Wrongful Death Litigation

Represented a client whose car was rear-ended by a tractor-trailer; resulting in a $2.87M settlement with the trucking company and a $1.95M jury verdict against the state's Department of Transportation

Represented a family whose son was killed when his vehicle was struck by a tractor-trailer that crossed the center line of a highway, resulting in a $650,000 mediated settlement

Represented an utility worker who suffered a serious brain injury when he was struck by a county-owned vehicle, reaching a structured settlement with the county for $1.7M

Real Estate

Assisted an out of state trust in an exchange valued at $4.6M involving properties in Georgia, Florida and New Jersey

Closed a transaction with a state agency on behalf of a nonprofit organization in the placement of 2,000 acres of land in a conservation easement, resulting in the receipt of a $3.8M grant check by the client

Assisted a corporation with the sale of its local property, part of a national hotel franchise, to an area non-profit organization that provides temporary housing for the homeless. Utilized section 1031 of the revenue code for exemption of capital gains tax by the seller. Assisted the same seller in its purchase of another national hotel franchise property in Sanford, North Carolina for $7.5M.

Taxation

Successfully represented an individual facing an IRS trust fund recovery penalty, saving the client $350,000 when the penalty was waived

Successfully represented a Polk County horse farm in qualifying for present-use land value status before the N.C. Tax Commission, overturning a county tax board's decision to revoke the agricultural present-use status. By proving the farm's legitimacy as an agricultural business with a sound management plan, the firm's attorneys saved the farm from paying rollback taxes while preserving the preferred tax status for future years.

Zoning & Land Use

Served as local counsel for an out of state developer facing multiple location right-of-way, lake and zoning issues for developments in Buncombe, Henderson and Rutherford Counties, and the result in each of the cases (collectively valued in excess of $13M) was successful closure on the respective developments

Served as local counsel for an out of state developer facing numerous topographical, utility and annexation issues in developing a 364-acre gated community

Successfully managed the rezoning of a large commercial tract for a regional utility with $2M in development at stake
